Minutes of Annual General Meeting Held on Tuesday 17th March 2021
BACKGROUND
The Division Council, at its December 2020 meeting, considered arrangements for the meeting. Noting the success of holding the 2020 AGM on-line, enabling participation by members throughout Australia rather than at a single nominated location, Council decided that the 2021 AGM should be held on Wednesday 17th March 2021 using the Zoom on-line platform. The Notice of Meeting was published in the February 2021 issue of the Division's journal, The Australian Naval Architect.

1. OPENING
The Division President, Mr MacDonald, noting that a quorum of more than 12 members was present including at least 4 Corporate members, welcomed members to the Annual General Meeting of the Australian Division and declared the meeting open at 18.35hrs AEDT.
2. APOLOGIES
The Secretary reported that apologies had been received from Ms Violeta Gabrovska (Vice President), Mr David Gonzalez Pastor, Mr Phil Helmore, Mr John Jeremy, Ms Carly Menzies, Mr Niel Mukherjee, Mr Shaun Phelps, Mr Alistair Smith, Mr Jason Steward, Mr Peter Symington, Mr Simon Walter, Mr Cameron Whitten and Assoc Prof Michael Woodward.
3. CONFIRMATION OF THE MINUTES OF THE VIRTUAL AGM HELD BY ZOOM ON WEDNESDAY 31ST MARCH 2020.
A link to the Minutes of the previous AGM had been circulated to members as a footnote to the Notice of Meeting.
There being no questions or comments on the Minutes, Mr Taylor moved and Dr Drobyshevski seconded that the Minutes be taken as read and signed as a true record of that meeting.

4. PRESIDENTS REPORT
The President's report was circulated to members by email prior to the meeting.
There being no questions or comments on the report, Mr Dandy moved and Dr Cannon seconded that the President's report be accepted.

5. RECEIVE, CONSIDER AND ADOPT THE FINANCIAL STATEMENTS FOR THE YEAR ENDING 31 DECEMBER 2020
The Treasurer introduced the Financial Statement as audited by W L Browne & Associates of Gordon, NSW, dated the same day as the meeting, 17th March 2021. An unsigned copy of the Statement had been distributed to members prior to the meeting.
There being no other questions, Mr Black moved and Mr Wallace seconded that the Treasurer's Financial Report be received.
Carried.
6. APPOINTMENTS TO COUNCIL OF THE AUSTRALIAN DIVISION
The Secretary advised the meeting that in accordance with the Division's By-Laws, the following elected or appointed Council members reach the end of their terms at the end of the current AGM:
Dr Walid Amin
Mr Jim Black
Prof Jonathan Binns
Ms Violeta Gabrovska
Mr David Gonzalez Pastor
Mr Jason Steward.
In addition, there is also a current vacancy which has been unfilled for the past year.
The Secretary advised that, as a result of responses to the call for nominations for these vacancies, Mr Sammar Abbas, Prof Binns and Mr Ken Goh had been nominated and were therefore declared members of Council for the coming two years as the number of nominees was less than the number of vacancies.
In addition, and following soundings of the retiring members, the Division Council at its meeting on 16th March 2021 had appointed Vice President Gabrovska to one of the vacancies. Council intended to seek nominations for the remaining vacancies prior to the first meeting of the coming year.
In thanking retiring Council members for their service, the President mentioned in particular Mr Black who had reached his maximum term.
7. OTHER BUSINESS
The President invited any other business.
The only question was from Mr Grimm who queried measures put in place to coordinate Section technical meetings to enable members around Australia to attend using the Zoom platform. In response, the Secretary indicated that he had placed a query with Headquarters on the establishment of a single page on the web-site covering upcoming meetings across the Division. Ms Webster added that the ACT Section had been using a Google Form to facilitate participation in its technical meetings. She also commented that the coordination subject was currently being examined by the Institution's digital review; Mr Boyd confirmed this to be the case.
8. CLOSURE
In closing the meeting at 18.52hrs AEDT, the President also expressed thanks to the Secretary, Mr Gehling and the Treasurer, Mr Boulton, for their work for the Institution, largely unseen by most members.
