MINUTES OF ANNUAL GENERAL MEETING - 22 MARCH 2022
BACKGROUND
In accordance with its practice from the preceding two years of the COVID-19 pandemic, the Division Council at its December 2021 meeting determined that this meeting should be held on-line via Zoom.
ATTENDANCE
Mr Sammar Abbas, Prof Jonathan Binns, Mr Jim Black, Mr Craig Boulton (Treasurer), Mr Adrian Broadbent, Mr Nathan Chappell, Mr Peter Dandy, Mr Donal Gallagher, Mr Rob Gehling (Secretary), Mr Ken Goh, Mr Andy Harris, Mr John Jeremy, Dr Kim Klaka, Mr Gordon MacDonald (President), Prof Martin Renilson, Mr Karl Slater, Assoc Prof Warren Smith, Mr Graham Taylor and Mr Nathan Wallace.
1. OPENING
The Division President, Mr MacDonald, noting that a quorum of more than 12 members was present including at least 4 Corporate members, welcomed members to the Annual General Meeting of the Australian Division and declared the meeting open at 20.06hrs AEDT.
2. APOLOGIES
The Secretary reported that an apology had been received from RAdm Trevor Ruting. Members, including Council members, who had accepted but did not attend were Dr Walid Amin, Mr John Butler, Mr John Colquhoun, Mr Alan Dowd, Dr Yuriy Drobyshevsky, Ms Violeta Gabrovska (Vice President), Mr Phil Helmore, Ms Jennifer Knox, Mr Adrian MacMillan, Mr Alistair Smith, Ms Emma Tongue, Mr Cameron Whitten, Ms Sigrid Wilson and Assoc Prof Michael Woodward.
3. CONFIRMATION OF THE MINUTES OF THE VIRTUAL AGM HELD BY ZOOM ON WEDNESDAY 17TH MARCH 2021.
The Minutes of the previous AGM had been circulated to members.
There being no questions or comments on the Minutes, Mr Taylor moved and Dr Klaka seconded that the Minutes be taken as read and signed as a true record of that meeting.

4. PRESIDENTS REPORT The President's report was circulated to members by email prior to the meeting.
In introducing his report, noting that he would be retiring at the conclusion of the AGM, thanked members for their support during his Presidency and wished Mr Black for his Presidential term.
There being no questions or comments on the report, Mr Jeremy moved and Mr Goh seconded that the President's report be accepted.

5. RECEIVE, CONSIDER AND ADOPT THE FINANCIAL STATEMENTS FOR THE YEAR ENDING 31 DECEMBER 2021
The Treasurer introduced the Financial Statement as audited by W L Browne & Associates of Gordon, NSW, dated the same day as the meeting, 22nd March 2022. An unsigned copy of the Statement had been distributed to members prior to the meeting. In relation to the stated income, the Treasurer pointed out to the meeting that the Division had not received its annual grant from RINA Headquarters within the year but it had been credited together with the current year's grant prior to the meeting.
The Secretary drew the meeting's attention to differences between the name of the Division as incorporated and the name used within the financial statements which could be confused with the Institution (world-wide); this would be amended if necessary but made no difference to the financial statements but would be corrected if required by authorities.
There being no other questions, Mr Black moved and Mr Dandy seconded that the Treasurer's Financial Report be received.
Carried.
6. APPOINTMENTS TO COUNCIL OF THE AUSTRALIAN DIVISION
The Secretary advised the meeting that in accordance with the Division's By-Laws, the following Council members appointed by their Sections reach the end of their terms at the end of the current AGM:

Dr Yuriy Drobyshevsky (WA)
Mr Peter Dandy (SA-NT)
Mr Nathan Wallace (Vic)
Assoc Prof Michael Woodward (Tas)
Mr Alistair Smith (ACT)

The Secretary advised that, as a result of responses to the call for Sections to appoint members to these vacancies, Mr Broadbent and Mr Wallace had been re-appointed, while Ms Emma Tongue (WA), Mr Phil Bevan (SA-NT), Mr Chris Davies (Tas) and Mr Nic Bentley (Qld) were appointed to

join Council following nomination by their Sections. A/Prof Smith, as Chairman of ACT Section, indicated that their nominee would be decided in the coming weeks.
7. OTHER BUSINESS
The President invited any other business.
7.1 The incoming President, Mr Black, thanked Council for entrusting him to lead the Division over the coming two years and for its continuing support. He also thanked Council for its work over the past years and in particular Immediate Past President Prof Renilson who was retiring from Council after many years of service.
7.2 Mr MacDonald, as retiring President, thanked Council and particularly the Treasurer and Secretary for their support during his term.
7.3 A/Prof Smith congratulated Sections on the technical meetings conducted on-line during the COVID pandemic and proposed that future technical meetings should be conducted through a nationally-coordinated program. The President referred this proposal to the Improvement Committee established by Division Council, noting comments that hybrid physical/online meetings are likely to be more difficult to manage but can be made to work and can become routine.
7.4 A/Prof Smith brought attention to the commencement of the accredited naval architecture course at UNSW Canberra which had started with small numbers but was actively looking to recruit students.
8. CLOSURE
The Preident closed the meeting at 20.28hrs AEDT.

Division President's Report to the 2022 AGM

Members of The Royal Institution of Naval Architects (Australian Division) Inc. (RINA), I welcome you to the 2022 Annual General Meeting.
I would like to thank all members for their ongoing support for the Australian Division and it is my pleasure to provide you with an overview of the highlights of the last year of operations and touch on future direction and activities.
The last year, while having its fair share of ongoing COVID related disruption has been another successful year for the Division focusing on our key mission:
'the improvement of ships and all that specially appertains to them, and the arrangement of periodical meetings for the purpose of discussing practical and scientific subjects bearing upon the design and construction of ships and their means of propulsion, and that relates thereto'.
The mechanism for the Division to achieve this mission is through the conduct of our section technical meetings and the publication of our quarterly journal The Australian Naval Architect (ANA).
It is pleasing to see that despite COVID our Sections have maintained the drumbeat of delivery of high quality technical presentations with the delivery through video conferencing technology serving to enhance the ability of members from all parts of Australia to partake in each sections meetings. It is anticipated that this delivery mechanism will continue to be a highlight of the Institutes activities in the post COVID world.
The move to conduct Section technical meetings and Division Council meetings by video conference has its down side, a key one being the lack of real face-to-face communications with friends and colleagues and the reduced ability to meet new contacts through social interaction as was a factor of the original meeting formats. In a post COVID environment (when that does eventuate), each section will need to consider its own circumstances and memberships desires regarding reversion to a more traditional meeting format noting however that this should still utilise video conference delivery for those members state and nation wide that may wish to participate.
On that note, I did read with envy the description of the NSW SMIX bash in February's ANA. Now that we Queenslanders have been released from our COVID detention I for one plan to make the most of this year's bash.
Despite the move to new technologies for the conduct of meetings and delivery of technical presentations, the successful delivery requires the time and effort provided by the members of each section's council. I understand the additional burden that Section Committee and Council membership places on the individuals and their families and I thank them wholeheartedly for their commitment and dedication.
With respect to the development and publication of the ANA, all thanks go to the diligent efforts of our Editor's John Jeremy and Phil Helmore. Each of the four editions this year have been exceptional in coverage and content. I believe that the ANA as a regional specific publication provides exceptional value for our membership that cannot be attained through the more generic international RINA publications.
Our organisation achieves its mission through our members and for the organisation to have appropriate presence and standing within the Australian maritime domain, we have to build a strong sustainable membership base. To that end, it is very encouraging to have seen our membership numbers grow by 131 to reach 863 this year. I would however ask all our members to reach out to any practicing naval architects or maritime engineers who are not currently members and encourage them to join the fold.
This brings me to the key challenge that faces our profession, which is one of clarity of identity and enhancing our reputation within the maritime domain. The Council has commenced a review of the perception of the roles and responsibilities of naval architects in the Australian maritime domain with a view to increasing industries understanding and our member's future prospects. In a similar vein we continue to work with Engineers Australia to achieve the appropriate recognition of the profession and thereby assist with some of the functions that impact our members.
The Divisions financial position remains strong, but expected to be reinforced through the anticipated income generated through the IMC 2022 International Maritime Conference to be held at the International Convention Centre Sydney from 10 to 12 May 2022, having been postponed from the original date of October 2021 due to COVID. The conference, organised by RINA with our partner organisations, provides further opportunity to bolster the Institution's mission through presentations and discussions of the latest developments in maritime technology across defence and commercial shipping.
Another victim of COVID was the Australian Oil and Gas (AOG) Expo in Perth, at which our WA Section has organised a "knowledge forum" seminar in previous years.
The formal recognition of the Division status as a charity/not-for-profit organisation through the Australian Charities and Not-for-profits Commission (ACNC) will also assist the organisations financial position going forward. A big thanks to our Secretary and Treasurer for doggedly progressing this activity.
Unfortunately, the 2021 Walter Atkinson Award was not presented this year, this in part being another COVID related outcome with the lack of conferences venues for our membership to present papers at. Despite this there have been some highly commendable articles presented in the ANA this year of which the following are noteworthy examples:
"AGM Michell and the Tilting-pad Thrust Bearing" by Stephen Phillip; and
"Commemorating the loss of HMAS Perth (1)" by Michael Bailey & David Nicholson.
I anticipate that this will change with the conduct of the re-scheduled IMC 2022 this year.
That brings me to the end of my report to the AGM however I wish to sincerely thank the members of the Division Council for their time, their contributions and their professionalism that have steered us through another successful year for the Australian Division of RINA.
My term as your Division President ends at the conclusion of this AGM and I have informed the Division Council that I will not be available for re-election. I would like to thank Violeta Gabrovska for her support as Vice President through my Presidency.
Finally, I would like to extend my congratulations to Jim Black on his election by Division Council as my successor and wish him similar strong support to that I have enjoyed.

BACKGROUND

The Division Council, at its December 2020 meeting, considered arrangements for the meeting. Noting the success of holding the 2020 AGM on-line, enabling participation by members throughout Australia rather than at a single nominated location, Council decided that the 2021 AGM should be held on Wednesday 17th March 2021 using the Zoom on-line platform. The Notice of Meeting was published in the February 2021 issue of the Division's journal, The Australian Naval Architect.

The Secretary advised that, as a result of responses to the call for nominations for these vacancies, Mr Sammar Abbas, Prof Binns and Mr Ken Goh had been nominated and were therefore declared members of Council for the coming two years as the number of nominees was less than the number of vacancies.

In addition, and following soundings of the retiring members, the Division Council at its meeting on 16th March 2021 had appointed Vice President Gabrovska to one of the vacancies. Council intended to seek nominations for the remaining vacancies prior to the first meeting of the coming year.

In thanking retiring Council members for their service, the President mentioned in particular Mr Black who had reached his maximum term.

The only question was from Mr Grimm who queried measures put in place to coordinate Section technical meetings to enable members around Australia to attend using the Zoom platform. In response, the Secretary indicated that he had placed a query with Headquarters on the establishment of a single page on the web-site covering upcoming meetings across the Division. Ms Webster added that the ACT Section had been using a Google Form to facilitate participation in its technical meetings. She also commented that the coordination subject was currently being examined by the Institution's digital review; Mr Boyd confirmed this to be the case.


8. CLOSURE

In closing the meeting at 18.52hrs AEDT, the President also expressed thanks to the Secretary, Mr Gehling and the Treasurer, Mr Boulton, for their work for the Institution, largely unseen by most members.

Minutes of Annual General Meeting Held on Tuesday 17th March 2021
BACKGROUND

The Division Council, at its December 2020 meeting, considered arrangements for the meeting. Noting the success of holding the 2020 AGM on-line, enabling participation by members throughout Australia rather than at a single nominated location, Council decided that the 2021 AGM should be held on Wednesday 17th March 2021 using the Zoom on-line platform. The Notice of Meeting was published in the February 2021 issue of the Division's journal, The Australian Naval Architect.

1. OPENING

The Division President, Mr MacDonald, noting that a quorum of more than 12 members was present including at least 4 Corporate members, welcomed members to the Annual General Meeting of the Australian Division and declared the meeting open at 18.35hrs AEDT.


2. APOLOGIES

The Secretary reported that apologies had been received from Ms Violeta Gabrovska (Vice President), Mr David Gonzalez Pastor, Mr Phil Helmore, Mr John Jeremy, Ms Carly Menzies, Mr Niel Mukherjee, Mr Shaun Phelps, Mr Alistair Smith, Mr Jason Steward, Mr Peter Symington, Mr Simon Walter, Mr Cameron Whitten and Assoc Prof Michael Woodward.

3. CONFIRMATION OF THE MINUTES OF THE VIRTUAL AGM HELD BY ZOOM ON WEDNESDAY 31ST MARCH 2020.

A link to the Minutes of the previous AGM had been circulated to members as a footnote to the Notice of Meeting.

There being no questions or comments on the Minutes, Mr Taylor moved and Dr Drobyshevski seconded that the Minutes be taken as read and signed as a true record of that meeting.

4. PRESIDENTS REPORT

The President's report was circulated to members by email prior to the meeting.
There being no questions or comments on the report, Mr Dandy moved and Dr Cannon seconded that the President's report be accepted.

5. RECEIVE, CONSIDER AND ADOPT THE FINANCIAL STATEMENTS FOR THE YEAR ENDING 31 DECEMBER 2020

The Treasurer introduced the Financial Statement as audited by W L Browne & Associates of Gordon, NSW, dated the same day as the meeting, 17th March 2021. An unsigned copy of the Statement had been distributed to members prior to the meeting.

There being no other questions, Mr Black moved and Mr Wallace seconded that the Treasurer's Financial Report be received.
Carried.

6. APPOINTMENTS TO COUNCIL OF THE AUSTRALIAN DIVISION
The Secretary advised the meeting that in accordance with the Division's By-Laws, the following elected or appointed Council members reach the end of their terms at the end of the current AGM:

Ms Violeta Gabrovska
Mr David Gonzalez Pastor
Mr Jason Steward.
In addition, there is also a current vacancy which has been unfilled for the past year.
